Terms of Service

These Terms of Service ("Terms") govern your use of the Novatiq Technologies website and services. By accessing our website or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using novatiqtechnologies.co.za ("Website"), you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Website or services.

2. Services Offered

Novatiq Technologies provides professional website development services, including but not limited to:

  • Custom website design and development
  • Search Engine Optimization (SEO)
  • Website maintenance and support
  • E-commerce solutions
  • Logo and brand design
  • Social media integration
  • WhatsApp bot development

3. Service Agreements

3.1 Project Scope

Each project will be defined by a separate agreement or statement of work that outlines:

  • Specific deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Revision limits
  • Support and maintenance terms

3.2 Client Responsibilities

Clients agree to:

  • Provide all necessary content, materials, and information in a timely manner
  • Respond to requests for feedback within agreed timeframes
  • Ensure they have legal rights to all content provided
  • Make payments according to the agreed schedule
  • Provide hosting credentials and access when required

4. Payment Terms

4.1 Deposits

A 50% deposit is required before work commences on all projects. This deposit is non-refundable once work has begun.

4.2 Final Payment

The remaining 50% balance is due upon project completion before final delivery of files or website launch.

4.3 Additional Work

Work outside the agreed scope will be quoted separately and requires client approval before proceeding.

4.4 Late Payments

Payments not received within 7 days of the due date may result in:

  • Suspension of services
  • Withholding of website files or access
  • Interest charges of 2% per month on overdue amounts

4.5 Payment Methods

We accept payments via PayFast (credit/debit card, EFT). All payments are processed securely.

5. Intellectual Property

5.1 Client Content

Clients retain ownership of all content, text, images, and materials they provide.

5.2 Developed Work

Upon full payment, clients receive full ownership of:

  • Custom website code
  • Custom graphics and designs
  • Website structure and layout

5.3 Third-Party Components

Some projects may include third-party components (plugins, themes, frameworks) which are subject to their own licenses.

5.4 Portfolio Rights

Novatiq Technologies retains the right to display completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

6. Revisions and Changes

6.1 Included Revisions

Each package includes a specified number of revision rounds. Additional revisions will be charged at our hourly rate.

6.2 Scope Changes

Significant changes to project scope after work has commenced may result in adjusted timelines and additional costs.

7. Project Timelines

7.1 Estimated Delivery

Project timelines are estimates and depend on:

  • Timely provision of materials by the client
  • Prompt feedback and approvals
  • Technical complexity
  • Unforeseen technical issues

7.2 Delays

We are not liable for delays caused by:

  • Client-side delays in providing materials or feedback
  • Third-party service interruptions
  • Force majeure events

8. Cancellation and Refunds

8.1 Client Cancellation

Clients may cancel projects with written notice. In such cases:

  • The deposit is non-refundable
  • Any work completed will be charged at our hourly rate
  • Outstanding invoices remain payable

8.2 Company Cancellation

We reserve the right to cancel a project if:

  • Payments are not received as agreed
  • Client fails to provide necessary materials
  • Professional relationship becomes untenable

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that services will be performed professionally and competently. We provide a 30-day bug-fix period after project completion for issues directly related to our work.

9.2 Disclaimer

Except as expressly stated, we provide services "as is" without warranties of any kind, express or implied, including:

  • Specific results or outcomes
  • Uninterrupted or error-free operation
  • Compatibility with all systems
  • Search engine rankings

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid by the client for the specific project
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for loss of profits, data, or business opportunities

11. Website Hosting and Maintenance

11.1 Hosting

Website hosting is the client's responsibility unless specifically included in the service agreement.

11.2 Maintenance

Post-launch maintenance and updates are available as separate services. Without a maintenance agreement, clients are responsible for:

  • Software updates
  • Security patches
  • Backup management
  • Content updates

12. Confidentiality

We will keep confidential all non-public information provided by clients. Clients agree to keep confidential any proprietary information, processes, or methodologies we share.

13. Third-Party Services

Our services may integrate with third-party services (e.g., payment processors, email services, hosting providers). We are not responsible for:

  • Third-party service outages or failures
  • Changes to third-party terms or pricing
  • Third-party security breaches

14. Indemnification

Clients agree to indemnify and hold harmless Novatiq Technologies from any claims arising from:

  • Content provided by the client
  • Violation of third-party intellectual property rights
  • Client's use of delivered services
  • Client's breach of these Terms

15. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts in the Eastern Cape, South Africa.

16. Dispute Resolution

In the event of a dispute:

  1. Parties agree to first attempt resolution through good-faith negotiation
  2. If negotiation fails, parties agree to mediation before pursuing legal action
  3. Each party bears its own costs unless otherwise determined

17. Force Majeure

Neither party shall be liable for failure to perform due to causes beyond reasonable control, including but not limited to:

  • Natural disasters
  • War or terrorism
  • Government actions or restrictions
  • Power failures
  • Internet service provider failures
  • Pandemics or health emergencies

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior agreements or understandings.

20. Modifications

We reserve the right to modify these Terms at any time. Material changes will be notified via email or website notice. Continued use of services after changes constitutes acceptance.
